Release and Consent to Use Name, Credentials, Likeness and Statements (“Release”)

1. By expressing my consent below, I grant to Keypath Education Australia Pty Ltd (“Keypath”), which is the educational services partner of Melbourne Business School Limited (“MBS”), together with MBS and their respective related bodies corporate, assigns, and those acting with their authority (collectively, the “Organisations”), the worldwide, royalty-free, non-exclusive and perpetual right and licence to obtain, take, record and use:

   1. my name, program I studied at MBS, job title, and employer (collectively, my “Name and Credentials”);
   2. my voice, appearance, likeness, image, form and photographs, pictures, portraits, films, movies and videos of me (collectively, my “Likeness”); and
   3. endorsements, testimonials, biographical information, letters, e-mails and other statements from me (collectively, my “Statements”),

   that are obtained, taken or recorded by the Organisations, or supplied by me to the Organisations.

2. My Name and Credentials, Likeness and Statements may be used:

   1. in any and all forms and media, and in all manners, without limitation as to frequency or duration; and
   2. for any lawful commercial and/or non-commercial purposes related to Keypath’s and MBS’s products and services, including, but not limited to, editorial, advertising, marketing and promotional purposes.

3. The Organisations will have the right to attribute my Statements to me, as an expression of my personal experience and beliefs, and to use my Name and Credentials and Likeness in association with my Statements, in the Organisations’ sole discretion.

4. I waive any rights that I may have regarding the use of my Name and Credentials, Likeness and my Statements by the Organisations as set forth in this Release, including, without limitation, any right to:

   1. inspect, approve or object to such use or to the editorial, advertising, sales, marketing and promotional materials, or other materials, in which my Name and Credentials, Likeness and my Statements may be used or appear.

5. To the extent I own copyright in any Statements or any other materials that I provide, and subject to clause 7, I grant the Organisations a worldwide, royalty-free, non-exclusive and perpetual licence to reproduce, adapt, publish, communicate and otherwise use those Statements and materials for the purposes permitted by this Release.

6. I represent and warrant that:

   1. I am providing any Statements of my own free will and I have not been paid a monetary sum for doing so; and
   2. my Statements and any photographs, videos and other materials depicting my Name and Credentials and Likeness, that I have provided (or will provide) to the Organisations are original to me or I have obtained all permissions necessary to provide them and authorise their use in accordance with this Release.

7. I may withdraw my consent to new uses of my Name and Credentials, Likeness or Statements by contacting Keypath or MBS. Withdrawal will not affect any use made, or materials produced, published or committed for publication, before notice of withdrawal is received.

8. MBS will handle personal information it collects in connection with this Release in accordance with the MBS Privacy Policy.

9. I acknowledge that I will receive no compensation from the Organisations other than the Organisations’ agreement in clause 10, as well as any goodwill and publicity that I may receive relating to use by the Organisations of my Name and Credentials, Likeness and/or my Statements as set forth in this Release.

10. To the extent permitted by law, I release and hold harmless the Organisations (including any third parties acting on behalf of the Organisations) from any and all claims arising out of or in connection with the Organisations’ use of my Name and Credentials, Likeness and/or my Statements as set forth in this Release.

11. I have read this Release, I understand the contents and I am voluntarily agreeing to be legally bound by its terms. I enter into this Release in consideration for the Organisations’ agreement to, where they use my Statements, present those Statements as an expression of my own experience and beliefs without changing their meaning.

12. This Release constitutes the complete understanding between me and the Organisations regarding the subject matter and supersedes all prior agreements, negotiations and discussions regarding the subject matter. No modification of this Release will be effective unless made and agreed in writing by me, Keypath and MBS.
